These Terms and Conditions (“Terms”) govern your access to and use of the VietFrost website (vietfrost.com), as well as any business inquiries, quotations, orders, and transactions conducted through or in connection with this website. By accessing or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- “VietFrost,” “we,” “our,” or “us” refers to VietFrost, a Vietnamese exporter of IQF fruits, frozen vegetables, and related food products.
- “Buyer,” “you,” or “your” refers to any business entity, importer, distributor, wholesaler, or authorized representative accessing this website or engaging in business with VietFrost.
- “Products” refers to all IQF (Individually Quick Frozen) fruits, frozen vegetables, and other food products offered by VietFrost.
- “Website” refers to vietfrost.com and all its pages, content, and functionality.
2. Scope of Services
2.1. VietFrost operates as a business-to-business (B2B) exporter. This website is intended for use by importers, distributors, wholesalers, food manufacturers, and other business buyers. VietFrost does not sell products directly to individual consumers.
2.2. The website serves as an informational platform and product catalog. No products are sold directly through this website. All commercial transactions require a formal sales contract or purchase order agreed upon by both parties.
2.3. VietFrost reserves the right to decline any inquiry or refuse to enter into a business relationship at its sole discretion.
3. Product Information and Accuracy
3.1. We make reasonable efforts to ensure that product descriptions, specifications, images, and other information on this website are accurate and up to date. However, we do not warrant or guarantee the completeness, accuracy, or reliability of any product information displayed.
3.2. Actual products may vary from website descriptions in terms of appearance, packaging, cut size, color, or other characteristics due to natural variations in raw materials, seasonal conditions, and production batches.
3.3. Product specifications provided on this website are general guidelines. Detailed and binding product specifications will be confirmed in formal quotations and sales contracts.
3.4. Product availability is subject to seasonal harvest conditions, stock levels, and production capacity. VietFrost reserves the right to discontinue or modify any product without prior notice.
4. Inquiries, Quotations, and Orders
4.1. Submitting an inquiry through this website does not constitute a binding order, contract, or commitment by either party.
4.2. Quotations provided by VietFrost are valid for the period stated therein (typically 7–14 days unless otherwise specified). Quotations are subject to change based on market conditions, raw material costs, currency exchange rates, and shipping costs.
4.3. A legally binding agreement between VietFrost and the Buyer is formed only upon execution of a formal sales contract, purchase order, or proforma invoice accepted and confirmed by both parties in writing.
4.4. VietFrost reserves the right to accept or reject any order at its discretion, including but not limited to orders that do not meet minimum order quantities or that present credit or compliance risks.
5. Minimum Order Quantity (MOQ)
5.1. The standard minimum order quantity is one (1) full container load (FCL), typically a 20-foot or 40-foot refrigerated container (20’RF or 40’RF), unless otherwise agreed in writing.
5.2. MOQ may vary by product and will be specified in the formal quotation. Mixed container loads may be available upon request and subject to additional terms.
6. Pricing and Payment Terms
6.1. All prices are quoted in United States Dollars (USD) unless otherwise stated in writing.
6.2. Prices quoted are subject to change without notice until a formal sales contract is signed by both parties.
6.3. Quoted prices do not include import duties, taxes, customs fees, inspection costs, or any other charges imposed by the Buyer’s country of import, unless explicitly stated otherwise.
6.4. Payment terms shall be specified in each individual sales contract. Common payment methods include:
- T/T (Telegraphic Transfer): typically 30% deposit upon order confirmation, 70% balance against copy of Bill of Lading.
- L/C (Letter of Credit): irrevocable L/C at sight, issued by a reputable international bank.
6.5. VietFrost reserves the right to withhold shipment or suspend production if payment is not received in accordance with the agreed terms.
6.6. Any bank charges incurred by the Buyer’s bank shall be borne by the Buyer.
7. Shipping, Delivery, and Incoterms
7.1. Shipping terms (FOB, CIF, CFR, EXW, etc.) shall be defined in each individual sales contract in accordance with Incoterms® 2020.
7.2. Delivery timelines and estimated time of arrival (ETA) are provided as estimates only and are not guaranteed. Actual delivery may be affected by factors including but not limited to vessel schedules, port congestion, customs procedures, weather conditions, and carrier availability.
7.3. Risk of loss or damage to the Products transfers to the Buyer in accordance with the applicable Incoterm specified in the sales contract.
7.4. VietFrost is not liable for delays, losses, or damages caused by shipping carriers, freight forwarders, port authorities, or customs agencies.
7.5. All products are shipped in refrigerated containers (reefer containers) maintained at -18°C or below. The Buyer is responsible for ensuring adequate cold chain handling upon arrival at the destination port.
7.6. VietFrost shall provide standard export documentation, which may include: Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin, Health Certificate, Phytosanitary Certificate (where applicable), and Certificate of Analysis (COA).
8. Quality Assurance and Certifications
8.1. All VietFrost products are manufactured in facilities that comply with international food safety standards, including but not limited to:
- ISO 22000 (Food Safety Management System)
- HACCP (Hazard Analysis and Critical Control Points)
8.2. Additional certifications such as BRC, FSSC 22000, FDA registration, Organic, Halal, or Kosher may be available upon request and will be confirmed in the sales contract.
8.3. VietFrost conducts quality control inspections at every stage of production — from raw material sourcing through processing, freezing, packaging, and loading.
8.4. Certificates of Analysis (COA) and product specification sheets are available upon request and may be provided with each shipment.
9. Claims and Returns
9.1. The Buyer must inspect all Products upon arrival at the destination. Any claims regarding quality, quantity, or condition of the Products must be submitted to VietFrost in writing within fourteen (14) calendar days of receipt of goods.
9.2. Claims must be accompanied by supporting evidence, including but not limited to photographs, video, temperature records, independent laboratory test results, and official survey reports.
9.3. Claims will not be accepted if:
- The Products have been improperly stored, handled, or transported after delivery.
- The Buyer has failed to maintain the required cold chain (-18°C or below).
- The claim is submitted after the 14-day claim period.
9.4. If a claim is accepted by VietFrost, the resolution may include, at VietFrost’s discretion: replacement of goods, credit note, or price adjustment for future orders. VietFrost’s total liability shall not exceed the invoice value of the affected shipment.
9.5. Products shall not be returned without prior written authorization from VietFrost.
10. Samples
10.1. Product samples may be provided upon request for qualified Buyers. Sample costs and shipping charges may apply and will be communicated prior to dispatch.
10.2. Free samples may be available for serious inquiries, subject to VietFrost’s discretion and evaluation.
10.3. Sample quality is representative but may vary slightly from bulk production due to differences in batch size and production conditions.
11. Private Label and OEM Services
11.1. VietFrost offers private label and OEM packaging services, subject to minimum order quantities and additional lead time.
11.2. The Buyer is responsible for providing artwork, design files, and labeling content that comply with the food labeling regulations of the destination country.
11.3. VietFrost does not assume responsibility for the accuracy or legal compliance of Buyer-supplied labeling content.
11.4. Private label orders may require a longer lead time (typically 4–6 weeks) and higher MOQ compared to standard products.
12. Intellectual Property
12.1. All content on this website — including but not limited to text, images, photographs, logos, trademarks, graphics, page layouts, and design elements — is the property of VietFrost and is protected by applicable intellectual property laws.
12.2. You may not reproduce, distribute, modify, display, transmit, or use any content from this website for commercial purposes without prior written permission from VietFrost.
12.3. The VietFrost name, logo, and brand identity are trademarks of VietFrost. Unauthorized use of these trademarks is strictly prohibited.
13. Confidentiality
13.1. Both parties agree to treat as confidential any proprietary business information exchanged during the course of business, including but not limited to pricing, product formulations, customer lists, trade secrets, and business strategies.
13.2. Confidential information shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law.
13.3. This confidentiality obligation shall survive the termination of any business relationship between the parties.
14. Privacy and Data Protection
14.1. VietFrost collects personal information (such as name, email address, company name, phone number, and country) only when voluntarily submitted by visitors through inquiry forms or direct communication.
14.2. Personal information is used solely for the purpose of responding to inquiries, providing quotations, and facilitating business communications.
14.3. VietFrost does not sell, rent, or share personal information with third parties, except as required to fulfill business obligations (e.g., shipping and logistics partners) or as required by law.
14.4. We implement reasonable technical and organizational measures to protect personal data from unauthorized access, loss, or misuse.
14.5. By submitting your information through this website, you consent to its collection and use as described herein.

17.3. In no event shall VietFrost’s total aggregate liability exceed the amount paid by the Buyer for the specific Products giving rise to the claim.
18. Indemnification
18.1. The Buyer agrees to indemnify, defend, and hold harmless VietFrost, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- The Buyer’s breach of these Terms.
- The Buyer’s violation of any applicable law or regulation.
- Any third-party claims related to the Buyer’s use of VietFrost products.
19. Force Majeure
19.1. VietFrost shall not be liable for any failure or delay in the performance of its obligations under any agreement where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
- Natural disasters (floods, earthquakes, typhoons, droughts)
- Pandemics or epidemics
- War, armed conflict, terrorism, or civil unrest
- Government actions, sanctions, embargoes, or trade restrictions
- Supply chain disruptions, raw material shortages
- Shipping delays, port closures, or carrier failures
- Power outages, equipment failures, or labor strikes
19.2. In the event of a force majeure, VietFrost will notify the Buyer as soon as reasonably practicable and make reasonable efforts to mitigate the impact and resume performance.
20. Compliance with Laws
20.1. The Buyer is responsible for ensuring that the importation, distribution, and sale of VietFrost products comply with all applicable laws, regulations, and standards of the destination country, including but not limited to food safety regulations, labeling requirements, customs duties, and import permits.
20.2. VietFrost shall comply with all applicable Vietnamese export laws and regulations.
21. Governing Law and Dispute Resolution
21.1. These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.
21.2. In the event of a dispute, the parties shall first attempt to resolve the matter through good faith negotiation within thirty (30) calendar days of written notice of the dispute.
21.3. If negotiation fails, the dispute shall be finally settled by arbitration administered by the Vietnam International Arbitration Centre (VIAC) at the Vietnam Chamber of Commerce and Industry (VCCI) in accordance with the VIAC Rules of Arbitration.
21.4. The arbitration shall be conducted in English. The seat of arbitration shall be Ho Chi Minh City, Vietnam.
21.5. The arbitral award shall be final and binding on both parties.
22. Severability
22.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
23. Entire Agreement
23.1. These Terms, together with any formal sales contract or purchase order entered into between the parties, constitute the entire agreement between VietFrost and the Buyer with respect to the subject matter hereof.
23.2. In the event of any conflict between these Terms and a formal sales contract, the terms of the sales contract shall prevail.
24. Amendments
24.1. VietFrost reserves the right to modify, update, or replace these Terms at any time without prior notice.
24.2. Changes will be effective immediately upon posting on this website. The “Last Updated” date at the top of this page indicates when the most recent changes were made.
24.3. Your continued use of this website after any changes constitutes acceptance of the revised Terms.
